1. Agreement and eligibility
These Terms of Service ("Terms") are a binding agreement between you and Sandlot Holding LLC, doing business as FlagSketch ("FlagSketch," "we," "us," or "our"). They govern your access to flagsketch.com, the FlagSketch mobile applications, and related services (collectively, the "Service").
By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and legally capable of entering a contract to create an account. If you use the Service for a league, school, club, company, or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization.
2. The Service
FlagSketch provides tools for coaches to create and organize plays, playbooks, practices, drills, rosters, lineups, game plans, scorekeeping records, and related materials; share selected materials with collaborators; browse public resources; and use available print, mobile, and AI-assisted features.
Some features are free and others require a paid plan, trial, promotion, or specific permission. Features and plan limits shown in the Service at the time of use are part of these Terms. We may add, remove, or change features as described below.
3. Accounts and teams
- Provide accurate account information and keep it current.
- Keep credentials confidential, use reasonable account security, and notify us promptly of suspected unauthorized use.
- You are responsible for activity under your account except to the extent caused by our breach of these Terms or failure to use reasonable security.
- Team owners and administrators control invitations, roles, and access. Removing a collaborator may end that person's access to shared team content.
- Do not share an individual account among multiple people. Use collaboration features to give each coach appropriate access.
4. Subscriptions and billing
Recurring subscriptions
If you purchase a paid subscription, you authorize the applicable payment provider to charge the price, taxes, and disclosed fees to your selected payment method. Unless the checkout page says otherwise, subscriptions renew automatically for successive periods of the same length until canceled. The price and billing interval are shown before you confirm purchase.
Cancellation
You may cancel at any time through the subscription-management link on your Account page or by contacting us. Cancel before your next renewal date to avoid the next charge. Unless we state otherwise or law requires otherwise, cancellation takes effect at the end of the current paid period and you keep paid access until then.
Trials, promotions, and refunds
Additional terms shown with a trial, credit, discount, referral, or promotion control that offer. Promotional value is not redeemable for cash unless required by law. Fees already paid are nonrefundable and we do not provide prorated credits for a partially used billing period, except where required by law or expressly stated in an offer.
Price changes and payment providers
We may change subscription prices with advance notice. A price change will apply no earlier than your next renewal after the notice period stated to you. Stripe currently processes web payments. If you purchase through an app store or another provider, its billing and refund rules may also apply. We may suspend paid features if a charge fails, is reversed, or remains unpaid.
5. Your content and player information
Ownership and limited license
You retain ownership of content you submit to the Service, including plays, playbooks, rosters, practices, notes, and team materials ("User Content"). You grant us a worldwide, nonexclusive, royalty-free license to host, store, reproduce, modify for technical formatting, transmit, display, and otherwise process User Content only as reasonably necessary to operate, secure, improve, and provide the Service and to follow your sharing or publishing instructions. This license ends when the content is deleted, subject to reasonable backup cycles and legal retention obligations.
Your responsibilities
You represent that you have all rights and permissions needed to submit and use User Content. This is especially important for player names, birth years, roster images, guardian contact details, and information about minors. You are responsible for obtaining any consent required by a parent, guardian, league, school, club, or law, and for limiting access to authorized people.
Do not enter medical records, government identifiers, precise home addresses, financial account information, passwords, or other highly sensitive information into FlagSketch. Use the minimum player information reasonably needed for team administration.
Shared and public content
People you invite may view, edit, copy, print, or further share content depending on their role and available features. Content you authorize for public publication may be viewed and copied by anyone. You can stop future public display, but copies already made by others may remain outside our control.
Feedback
If you give us product ideas or feedback, you allow us to use them without restriction or compensation. This does not give us ownership of your User Content or personal information.
6. Acceptable use
You may not, and may not help anyone else to:
- Use the Service unlawfully or violate another person's rights.
- Upload content that is infringing, deceptive, abusive, threatening, exploitative, malicious, or that you are not authorized to provide.
- Access another account or nonpublic content without permission, or bypass security, access controls, plan limits, or usage restrictions.
- Interfere with the Service, introduce malware, probe for vulnerabilities, overload our systems, or use automated access in a way that disrupts others.
- Reverse engineer the Service except to the limited extent that applicable law does not allow this restriction.
- Scrape, harvest, or use Service content or personal information to build a competing dataset, train an AI model, send spam, or profile people without permission.
- Resell or sublicense the Service, or falsely imply that you or your content is endorsed by FlagSketch.
We may investigate suspected violations and remove content or restrict access when reasonably necessary to protect the Service or others.
7. FlagSketch ownership
The Service, including its software, design, branding, documentation, curated templates, and other materials we provide, is owned by Sandlot Holding LLC or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, nonexclusive, nontransferable, revocable right to use the Service for your personal or internal coaching and team-management purposes.
Public templates and resources may include separate notices or attribution requirements. No rights are granted except those expressly stated in these Terms.
If you believe content on the Service infringes your copyright or other rights, email privacy@flagsketch.com with enough detail for us to identify the work, the disputed material, your contact information, and the basis for your claim.
8. Third-party services
The Service relies on third parties for hosting, authentication, payments, analytics, communications, diagnostics, push notifications, and optional AI-assisted processing. Your use of a third-party feature may also be governed by that provider's terms and privacy policy. We are not responsible for third-party websites or services that we do not control.
9. Changes and availability
We continually improve FlagSketch and may modify, add, limit, or discontinue features. We will try to give reasonable advance notice if a change materially reduces a paid feature during your current billing period. We may impose reasonable usage limits to protect the reliability and security of the Service.
Features labeled beta, preview, experimental, or similar may be incomplete, change without notice, or contain more errors than generally available features. We do not guarantee uninterrupted or error-free operation, but we will use reasonable efforts to keep the Service available.
10. Suspension, termination, and account deletion
You may stop using the Service at any time and may delete your account from the Account page. Deleting an account is permanent, cancels active subscriptions associated with it, and may delete content owned by that account. Export anything you wish to keep first.
We may suspend or terminate access if you materially or repeatedly breach these Terms, do not pay amounts due, create legal or security risk, or misuse the Service. When reasonable, we will give notice and an opportunity to cure. We may act immediately when needed to prevent harm, comply with law, or protect users or systems.
Provisions that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, liability limits, indemnity, dispute terms, and general provisions.
11. Disclaimers
You are responsible for reviewing plays, drills, rosters, lineups, and AI-assisted output; following league, school, facility, and governing-body rules; obtaining required permissions; and making appropriate decisions for player age, ability, health, weather, equipment, and field conditions. The Service does not provide medical, legal, safety, or professional coaching advice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SANDLOT HOLDING LLC DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
12. Limitation of liability and indemnity

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANDLOT HOLDING LLC AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FLAGSKETCH FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. These limits do not apply where applicable law prohibits them.
Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Sandlot Holding LLC and its members, employees, contractors, and affiliates from third-party claims, damages, and reasonable costs arising from your User Content, your unlawful use of the Service, or your material breach of these Terms. This obligation does not apply to the extent a claim results from our own negligence, willful misconduct, or breach of these Terms. We will promptly notify you of a covered claim and reasonably cooperate in its defense.
13. Disputes and governing law
Before filing a formal claim, you and FlagSketch agree to try in good faith to resolve the dispute informally for 30 days after written notice. Send notice to privacy@flagsketch.com with the subject line "Legal Notice" and a description of the issue and requested resolution. Either side may seek urgent injunctive relief without waiting if necessary to prevent immediate harm.
California law governs these Terms and any dispute, without regard to conflict-of-law rules. The state and federal courts located in California will have exclusive jurisdiction, and you and Sandlot Holding LLC consent to personal jurisdiction in those courts. This section does not prevent either side from bringing an eligible claim in small-claims court or limit consumer rights that cannot be waived under the law where you live.
14. General terms
- Changes to these Terms: We may update these Terms. We will post the new version and update the effective date, and will provide additional notice of material changes when reasonably appropriate. Changes apply prospectively. Continuing to use the Service after revised Terms take effect means you accept them.
- Electronic communications: You agree that notices and records may be provided electronically, including by email or through the Service.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of the business or relevant assets.
- Severability and waiver: If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. A failure to enforce a provision is not a waiver.
- Entire agreement: These Terms, the Privacy Policy, and any offer-specific terms are the entire agreement about the Service and replace prior agreements on the same subject.
- No third-party beneficiaries: These Terms do not create rights for any third party, except as expressly stated.
